Terms of Service

Welcome to DATA SCIENTISTS NETWORK FOUNDATION “DATA SCIENCE NIGERIA” (DSN) Platform.

DATA SCIENTISTS NETWORK FOUNDATION (DATA SCIENCE NIGERIA) (“DSN”, “We,” “Us,” or “Our”) operates a portfolio of digital platforms, applications, tools and services including but not limited to websites, mobile applications (Android and iOS), artificial intelligence systems, data platforms, educational platforms and enterprise solutions (collectively, the “Platform” or “Services”).

DSN is an artificial intelligence and data science organization focused on talent development, research and deployment of data-driven and AI-powered solutions across multiple sectors including education, governance, finance, health and business operations.

The term “You”, “Your”, “User” or “Users” shall refer to any individual or entity who views, uses, accesses or browses any content or material on the Platform.

These Terms of Service (“Terms”) govern your use of all DSN Services. By accessing or using any part of the Services, you agree to be bound by these Terms.

1. Service Overview

Data Science Nigeria (“DSN” or “the Foundation”) is a non-profit promoted by Data Scientists Network Foundation (registered as non-government organisation with Corporate Affairs Commission, Nigeria). The Foundation’s vision is to develop Nigeria’s  AI ecosystem and position the country as a world-class AI skill, research and outsourcing destination.

    • The Platform provides a wide range of services which may include:
    • Artificial intelligence tools and models 
    • Educational platforms, training programs and learning content
    • Research platforms and analytics services
    • Marketplaces, digital tools and business enablement platforms
    • Mentorship and capacity-building services
    • Community platforms and collaborative ecosystems
    • Enterprise and government solutions.

Users may register, access, upload content, interact with other users, access services, make transactions or participate in programs depending on the specific Service.  

Services may evolve, expand or be discontinued at any time.

2. General Terms

2.1. By using our Platform in any manner, You confirm that you accept these Terms and agree to comply with and be bound by them.

2.2. You understand that a breach of any of these Terms may result in your rights to use the services on the Platform being restricted, suspended, or withdrawn.

2.3. By using this Platform, you represent and warrant that you are 18 years old and above and are otherwise capable of entering into binding contracts including these Terms.

2.4. We may amend these terms and conditions at any time by updating this page. If you are an existing User, we will duly inform you of any amendments that are made, by sending a prompt on the Platform. Please take notice that any changes made will be binding on you.

2.5. You acknowledge and agree that:

    • You will not use our Services for any illegal or unauthorised purpose.
    • You will not transmit any worms or viruses or any code of a destructive nature. 
    • A breach or violation of any of the terms will result in an immediate termination of your account and right to use our Services.
    • We have the right to take any of the following actions in our sole discretion at any time and for any reason without giving you any prior notice:
      • Restrict, suspend or terminate your access to all or any part of our Services;
      • Change, suspend or discontinue all or any part of our Services;
      • Refine, move, or remove any content that is available on all or any part of our Services;
      • Deactivate or delete your accounts;
      • Establish general practices and limits concerning use of our Services
    • You agree that we will not be liable to you or any third party for taking any of these actions.
    • Our Services may include communications such as service announcements and administrative or legal notices from us. Please note that you cannot opt-out of receiving these notices.
    • You shall not  reproduce, duplicate, copy, sell, resell or exploit any portion of the Services without express written permission by us.
    • You may not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the platform. Use of the platform does not entitle users to make any unauthorized use of any protected content, and in particular, you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use, and will make no other use of the content without our express written permission and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to our intellectual property or that of our licensors except as expressly authorized by these Terms.

3. Your License, Access & Use of the Platform

3.1. We own and are the licensor of all rights, titles, and interests, in and to the Platform including all rights under patents, copyrights, design rights, trade secrets, and all other proprietary rights.

3.2. Subject to these Terms and our policies, we grant you a limited, personal, non-exclusive, non-transferable and revocable license to use our Services.

3.3. Using our Services does not give you ownership of or any intellectual property rights in our Services or the Content you access.

3.4. You retain ownership of all assets, data, and materials uploaded by you to the Platform (“User Content”).

3.5. Where applicable, you may download Content strictly for personal, non-commercial use unless otherwise authorized in writing by DSN. Use of the Services must comply strictly with these Terms.

4. User Content

4.1. The Services may contain information, text, links, graphics, photos, videos, audio, streams or other materials (“Content”), including Content created with or submitted to the Services by the User or through the User’s Account (“User Content”). We take no responsibility for and we do not expressly or implicitly endorse, support or guarantee the completeness, truthfulness, accuracy or reliability of any User Content.

4.2. You represent and warrant that you have all rights, power and authority necessary to any User submitted or uploaded to the Platform. You are solely responsible for your User Content, you may expose yourself to liability if you post or share your User Content without all necessary rights.

4.3. When your User Content is created with or submitted to the Services, you grant us a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, transferable and sublicensable license to use, copy, modify, adapt, prepare derivative works of, distribute, store, perform and display such User Content and any name, username, voice or likeness provided in connection with your User Content in all media formats and channels now known or later developed anywhere in the world. This license includes the right for us to make your User Content available for syndication, broadcast, distribution or publication by other companies, organizations or individuals who partner with DSN. You also agree that we may remove metadata associated with your User Content and you irrevocably waive any claims and assertions of moral rights or attribution with respect to your User Content.

4.4. Any ideas, suggestions and feedback about DSN or our Services that you provide to us are entirely voluntary and you agree that DSN may use such ideas, suggestions and feedback without compensation or obligation to you.

4.5. Although we have no obligation to screen, edit or monitor User Content, we may, in our sole discretion, delete or remove User Content at any time and for any reason, including for violating these Terms, infringing any third-party rights, posing a risk to the security or integrity of the Platform or if you otherwise create or are likely to create liability for us.

5. User's Conduct

5.1. As a User, you agree to use our Platforms and Services for lawful purposes only. Accordingly, You shall not post, send or transmit any material which violates or infringes in any way upon the rights of others or perform any act that is unlawful, threatening, abusive, defamatory, invasive of privacy or publicity rights, vulgar, obscene, profane or otherwise objectionable, which encourages conducts that would constitute a criminal offense, give rise to civil liability or otherwise violate any law.

5.2. Any use of any of the Platform that DSN, in its sole discretion, finds inappropriate and/or offensive may result in suspension and/or termination of a User’s account, with or without notice. Conduct that is inappropriate and/or offensive includes without limitation the following:

    • Defame, abuse, harass, harm, stalk, threaten or otherwise violate the legal rights (including without limitation rights of privacy and publicity) of others;
    • Publish, post, upload, distribute or disseminate any profane, defamatory, infringing, hateful, distasteful, obscene or unlawful topic, name, information, materials or Content;
    • Use the Platform for any purpose that violates local, state, national or international law;
    • Take any action that would undermine any aspect of the Platform;
    • Attempt to gain unauthorized access to the Platform, other User accounts or other devices, computer system or networks connected to the Platform;
    • Impersonate another person or allow any other person or entity to use your username, password or membership;
    • Access, download or copy any information, Content and/or materials from the Platform through artificial means (including without limitation spiders, scrapers, hacking devices, computer programs, bots or other such means);
    • Reproduce, duplicate, copy, sell, resell or exploit any information, materials or Content on the Site; or
    • Restrict or inhibit any other user from using and enjoying the Platform.

5.3. DSN may from time to time require you to upload or provide some Identification documents (IDs) to authenticate your use of the Platform and also confirm that You conduct and carry on Your business legally in accordance with the laws of the Federal Republic of Nigeria.

6. Third-Party Services and Integrations

The Platform may integrate with or link to third-party services. Third-Party links will take You out of this Website. The linked websites are not under the control of DSN. We are not responsible for the contents of any linked website or any link contained in a linked website or any changes or updates to such Websites. We provide these links to You only as a convenience and the inclusion of any link does not imply endorsement by DSN of the third-party Website.

We shall not be responsible or liable, directly or indirectly, for any actual or alleged damage or loss caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such site or resource.

7. Intellectual Property Rights

7.1. All rights, title, and interest in and to the Platforms, including all trademarks, trade names, service marks, logos, brand features, software, designs, and other proprietary materials (“Platform IP”), are and shall remain the exclusive property of DSN.

7.2. The Content on this Platform including but not limited to computer programs, technology, data file, techniques, algorithms, methods, codes, logos, marks, trade secrets, designs, text, graphics, pictures, audio and video files, other data or copyrightable materials or Content and their selection and arrangement, are the collective work of DSN.

7.3. You agree to abide by all applicable copyright laws, as well as any additional copyright notices or restrictions contained on this Platform. You acknowledge that the platform is developed, compiled, prepared, revised, selected and arranged by DSN and its partners and constitutes their intellectual property. You agree to protect the proprietary rights of DSN during and after the term of these Terms.

7.4. In a bid to protect Your copyright as well as the copyright of other Users, You agree to notify Us in writing promptly upon becoming aware of any unauthorized access or use of this Platform by any individual or entity.

7.5. Except as expressly authorized by Us, you agree not to reproduce, modify, copy or create derivative works of the Content on this Platform, in whole or in part, by any means without prior written approval from DSN.

8. AI Systems and Data Usage

8.1. DSN’s services may include outputs generated through artificial intelligence, including predictions, recommendations, or automated analyses (“AI Outputs”). You acknowledge that AI Outputs are probabilistic in nature, may be incomplete or inaccurate, and are provided for informational purposes only. DSN makes no representations or warranties as to the accuracy, reliability, or fitness for purpose of such outputs, and you agree not to rely solely on AI Outputs for critical, legal, financial, medical, or other high-risk decisions.

8.2. You remain solely responsible for evaluating the accuracy, suitability, and legality of any AI Outputs and for any decisions, actions, or omissions taken based on them.

8.3.  You agree not to:

    • use the services for any unlawful, harmful, or abusive purpose;
    • attempt to reverse engineer, decompile, or extract underlying models or algorithms;
    • input or process data that you do not have the legal right or authority to use; or
    • input personal data, confidential information, or other sensitive data except where expressly authorized and in compliance with applicable laws.

8.4. To the extent permitted by applicable law, DSN may use data submitted through the services in an aggregated and anonymized form to improve, develop, and enhance its products and services, provided that such data cannot reasonably be used to identify You or any individual.

8.5. You agree to use the services in compliance with all applicable data protection, privacy, and other laws and regulations.

9. Data Protection and Privacy

9.1. DSN processes personal data in accordance with applicable data protection laws, including the Nigeria Data Protection Act (NDPA), and any other applicable international data protection frameworks.

9.2. You acknowledge that DSN may collect, use, store, and process personal data for the purposes of providing, maintaining, improving, and securing its services, as well as enhancing user experience, in accordance with its Privacy Policy.

9.3. DSN may share personal data with its affiliates, service providers, and trusted partners where reasonably necessary for the provision of its services, subject to appropriate confidentiality and data protection obligations.

9.4. You retain your rights in respect of your personal data under applicable laws, including the right to access, correct, or request deletion of your data, subject to legal and contractual limitations.

9.5. Where personal data is transferred outside Nigeria, DSN shall ensure that such transfers are carried out in compliance with applicable data protection laws and subject to appropriate safeguards.

9.6. Further details on how DSN collects, uses, and protects personal data are set out in its Privacy Policy, which forms an integral part of these Terms.

10. Limitation of Liability

10.1. The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we make no representations or warranties of any kind, whether express or implied, including as to the availability, accuracy, reliability, or fitness for a particular purpose of the Platform.

10.2. To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, revenue, business, contracts, goodwill, or anticipated savings, arising out of or in connection with your use of the Platform.

10.3. To the maximum extent permitted by law, the total aggregate liability of DSN arising out of or in connection with these Terms or the use of the Platform shall not exceed the total amount paid by you to DSN in the twelve (12) months preceding the event giving rise to the claim.

10.4. You agree to indemnify and hold us, our affiliates, directors, officers, and employees harmless from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms,  misuse of the Platform, or infringement of any third-party rights, including intellectual property rights.

11. Advertisements and Promotions

We may run advertisements and promotions from third parties on the Platform. Your correspondence or business dealings with or participation in promotions of these advertisers are solely between you and such advertisers. DSN is not responsible or liable for any loss or damage of any sort incurred as a result of any such dealings or presence of such advertisers on the Platform.

12. Termination

12.1 As a user of the platform, you may cancel or terminate your account or access to our services by submitting a cancellation or termination request to: info@datasciencenigeria.ai

12.2. You agree that we may, at our sole discretion and without any prior written notice, immediately suspend, terminate, discontinue and/or limit your account and access to any of our Services. The cause for such termination, discontinuance, suspension and/or limitation of access shall include, but is not limited to:

(i) any breach or violation of these Terms or any other agreement, regulation and/or guidelines;

(ii) reports from other Users as to your objectionable content;

(iii) by way of requests from appropriate law enforcements or governmental agencies;

(iv) the discontinuance, alteration, and/or material modification to our services, or any part thereof;

(v) unexpected technical or security issues and/or problems;

(vi) any extended periods of inactivity; or

(vii) engagement by you in any fraudulent or illegal activities.

13. Disclaimers; No Warranties

13.1. UNLESS OTHERWISE EXPRESSLY AGREED IN WRITING, WE DO NOT WARRANT THAT ANY CONTENT OR OUTPUTS GENERATED ON THE PLATFORM ARE ACCURATE, RELIABLE, CURRENT, COMPLETE, UNBIASED, OR SUITABLE FOR ANY PARTICULAR PURPOSE. YOU ACKNOWLEDGE AND AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, VERIFYING, AND VALIDATING ALL OUTPUTS BEFORE USE OR DISTRIBUTION.

13.2. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK. ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE PLATFORM IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR SYSTEMS OR LOSS OF DATA RESULTING FROM SUCH USE.

13.3. YOUR OBLIGATIONS TO INDEMNIFY US ARE SET OUT ABOVE AND APPLY IN FULL TO YOUR USE OF THE PLATFORM AND ANY OUTPUTS GENERATED.

14. Injunction

You agree that any material breach of the Terms will result in irreparable harm to DSN for which damages would be an inadequate remedy. Therefore, in addition to the rights and remedies available to us at law, we will be entitled to seek equitable relief, including both preliminary and permanent injunction if a breach occurs. 

15. Governing Law & Dispute Settlement

15.1. You agree that these Terms and any contractual obligation between you and us will be governed by the laws of the Federal Republic of Nigeria.

15.2. If a dispute or difference arises as to the validity, interpretation, effects, or rights and obligations of the Parties under these Terms, the Parties shall use their best endeavor to reach an amicable settlement of the dispute.

15.3. If any such dispute is not settled between the Parties within fourteen (14) days, the Parties agree to submit such dispute to Mediation at the Lagos State Multi-Door Courthouse (LMDC) for resolution under the provisions of Lagos State Multi-Door Courthouse (LMDC) Law 2007.
